The terms that govern your use of californiase.com and the materials we publish. Trading, listing, and membership on the California Stock Exchange are governed separately by the Exchange Rulebook and a signed member or issuer agreement.

01 · Acceptance of these terms

Who these terms bind

These Terms & Conditions ("Terms") govern your access to and use of the website at californiase.com and the publicly available materials we make available through it ("Site"). The Site is operated by California Stock Exchange, Inc. ("California Stock Exchange", "we", "us"). By accessing the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

Trading, clearing, settlement, market data, listing, and membership services provided by the exchange - including the matching engine, the CSE Settlement Ledger, the Ledger API, and any associated dashboards, market data feeds, or settlement certificates ("Exchange Services") - are governed by the California Stock Exchange Rulebook and a separate written member or issuer agreement between California Stock Exchange and the participating organization. Nothing on the Site constitutes an offer to provide, or an obligation to deliver, the Exchange Services, nor an offer to sell or a solicitation to buy any security.

You confirm that you are at least the age of majority in your jurisdiction and, where you act on behalf of a company or other legal entity, that you have authority to bind that entity to these Terms.

02 · Permitted use

What you may and may not do

You may access the Site for personal, internal business, or evaluation purposes. You may quote and reference our public materials with appropriate attribution.

You agree not to: (i) use the Site in violation of any law or regulation; (ii) attempt to probe, scan, or test the vulnerability of the Site or any related infrastructure, or breach any security or authentication measure; (iii) interfere with or disrupt the Site, the servers or networks connected to it, or the use of the Site by others; (iv) use any automated means (scrapers, bots, harvesters) to access the Site at scale or to collect personal information; (v) reverse engineer, decompile, or attempt to derive non-public source code or trade secrets from any materials made available through the Site; or (vi) misrepresent your identity or affiliation when contacting us.

We reserve the right to suspend or terminate access to the Site, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, to us, or to third parties.

03 · Intellectual property

Ownership and licences

The Site and its contents - including text, graphics, logos, images, video, software, market data, indices (including the CSE California 100), and the underlying design - are owned by California Stock Exchange or its licensors and are protected by copyright, trademark, and other intellectual property laws. "California Stock Exchange" and the California Stock Exchange logo are trademarks of California Stock Exchange, Inc.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to view and download the Site for the purposes set out above. All rights not expressly granted are reserved. You may not modify, republish, sell, lease, sublicense, or create derivative works from the Site without our prior written consent, except as expressly permitted by law (for example, fair dealing or fair use).

If you submit feedback, suggestions, or ideas to us, you grant us a perpetual, worldwide, royalty-free licence to use them for any purpose, with no obligation of attribution or compensation.

Information, not advice

Materials on the Site - including blog posts, FAQs, case studies, the business plan, and the pitch deck - are provided for general informational purposes. They are not legal, regulatory, financial, accounting, tax, investment, brokerage, or trading advice and should not be relied on as a substitute for professional advice tailored to your circumstances. Market data, index levels, and any prices shown on the Site may be delayed, indicative, or illustrative and must not be relied on for trading decisions. Statements about securities regulation (including SEC, FINRA, California DFPI, and CFTC rules) reflect our understanding at the time of publication and are subject to change.

Forward-looking statements about the California Stock Exchange, its markets, roadmap, partners, or financial outlook involve risks and uncertainties. Actual outcomes may differ materially. We do not control these resources, do not endorse their content, and are not responsible for their availability, accuracy, or terms. Your use of any third-party resource is at your own risk and subject to that third party's terms.

06 · Limitation of liability

Limits and exclusions

To the maximum extent permitted by applicable law, California Stock Exchange and its directors, officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to your access to or use of the Site, including loss of profits, revenue, data, goodwill, or business opportunity, even if advised of the possibility of such damages.

Our aggregate liability arising out of or relating to the Site, regardless of the basis of the claim, will not exceed one hundred United States dollars (USD $100). Liability arising from the Exchange Services is governed exclusively by the California Stock Exchange Rulebook and the relevant signed member or issuer agreement between California Stock Exchange and the participating organization.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation.

07 · Indemnity

Your responsibility for misuse

You agree to indemnify and hold harmless California Stock Exchange and its directors, officers, employees, and agents from any claim, loss, damage, liability, cost, or expense (including reasonable legal fees) arising out of or relating to your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.

08 · Changes, governing law, and contact

Jurisdiction, disputes, and how to reach us

We may update these Terms from time to time. The "Last updated" date at the top of the page reflects the most recent revision. Material changes will be communicated through the Site, and your continued use after the changes take effect constitutes acceptance.

These Terms are governed by the laws of the State of California and the federal laws of the United States applicable in it, without regard to conflict-of-laws principles. The state and federal courts located in San Francisco, California have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, except that we may seek injunctive or equitable relief in any court of competent jurisdiction to protect our intellectual property or confidential information.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver of our right to do so later. These Terms, together with our Privacy Policy, the California Stock Exchange Rulebook, and any signed agreement governing the Exchange Services, are the entire agreement between you and us regarding the subject matter.
